The transaction is subject to customary regulatory approvals and closing conditions. Citi is serving as financial advisor and Davis Polk is serving as legal advisor to TE Connectivity on this transaction. William Blair & Company and Houlihan Lokey are serving as financial advisors and Goodwin is serving as legal advisor to Tinicum and Astrodyne TDI.
